2. Client Obligations:
a. Accuracy of Information: You agree to provide accurate, complete, and up-to-date information when using our Services. LinguaSwift LLC is not responsible for any consequences arising from inaccurate or incomplete information provided by the client.
b. Content Ownership and Rights: You represent and warrant that you have the necessary rights, permissions, and licenses for any content or materials you provide to LinguaSwift LLC for translation or related services. LinguaSwift LLC does not claim ownership over any client-provided content.
c. Compliance with Laws and Regulations: You agree to use our Services in compliance with all applicable laws and regulations. You are solely responsible for ensuring that the content you submit for translation or any other use does not violate any laws or infringe upon the rights of third parties.
3. Service Delivery:
a. Delivery Timeframes: LinguaSwift LLC will make reasonable efforts to deliver the completed translations or services within the agreed-upon timeframe. However, delivery times may vary depending on the complexity and volume of the project. LinguaSwift LLC will communicate any delays or issues promptly.
b. Quality Assurance: LinguaSwift LLC strives to provide accurate and high-quality translations. However, linguistic nuances and contextual variations may exist. The client acknowledges that some degree of interpretation is involved, and translations may not be an exact representation of the source content. LinguaSwift LLC will make reasonable efforts to address any issues or concerns raised by the client.
4. Payment Terms:
a. Pricing: The client agrees to pay the fees as specified in the agreed-upon proposal or quotation provided by LinguaSwift LLC. Pricing may vary based on the nature, complexity, and volume of the project.
b. Payment Method: LinguaSwift LLC will provide the client with the accepted methods of payment. Payment is due upon receipt of the invoice unless otherwise agreed upon in writing.
c. Limitation of Liability: LinguaSwift LLC's liability for any damages caused by negligence, omission, or error shall not exceed the total cost of the project as agreed upon with the client.
d. Late Payments: In the event of late or non-payment, LinguaSwift LLC reserves the right to suspend or terminate services and pursue appropriate legal remedies for the collection of outstanding amounts.
5. Confidentiality:
LinguaSwift LLC respects the confidentiality of client-provided content and treats it as confidential information. LinguaSwift LLC agrees not to disclose or use such information for any purpose other than providing the agreed-upon Services, except as required by law or with the client's explicit consent.
6. Limitation of Liability:
To the maximum extent permitted by law, LinguaSwift LLC and its employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or related to the use or inability to use our Services, including but not limited to errors, inaccuracies, or omissions in translations, or any loss of data or business opportunities.
7. Termination:
Either party may terminate the provision of Services by providing written notice to the other party. LinguaSwift LLC may also suspend or terminate services immediately if the client breaches these Terms or engages in any activity that may harm LinguaSwift LLC's reputation or violate any laws or regulations.
8. Governing Law and Jurisdiction:
These Terms and the relationship between the client and LinguaSwift LLC shall be governed by and interpreted in accordance with the laws of the jurisdiction in which LinguaSwift LLC is located (New Hampshire, USA), without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be exclusively brought in the state or federal courts located in the jurisdiction of New Hampshire, and the parties hereby consent to the personal jurisdiction and venue of such courts.
9. Modification of Terms:
LinguaSwift LLC reserves the right to modify or amend these Terms at any time. Any changes or updates will be effective upon posting the revised Terms on our website. It is your responsibility to review these Terms periodically for any changes. By continuing to use our Services after any modifications, you agree to be bound by the updated Terms.
10. Entire Agreement:
These Terms constitute the entire agreement between the client and LinguaSwift LLC and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
11. Severability:
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
